Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern your access to and use of PayByMy.AI (the "Service"), operated by PayByMy.AI ("we", "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The service

PayByMy.AI provides a non-custodial payments layer built on Stripe. You may (a) add a card and create bounded budgets that allow AI agents to pay merchants on your behalf, or (b) onboard as a merchant to issue payment requests and receive funds via Stripe Connect. We do not hold your funds; all movement of money is performed by Stripe.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You must comply with all applicable laws in your use of the Service.

4. Your account and Stripe

You are responsible for safeguarding your account credentials and for all activity under your account. Use of Stripe is governed by the Stripe Services Agreement and, for merchants, the Stripe Connected Account Agreement. By using the Service you also agree to those agreements.

5. Budgets and your responsibility

When you create a budget (the bearer credential the UI calls a "budget code"), you authorize any AI agent holding that credential to initiate payments on your behalf, up to the limit, allowed stores, and expiry you configure. You are responsible for:

• Choosing appropriate limits when creating a budget.
• Keeping the budget code secret — treat it like a bearer password.
• Canceling the budget promptly if you no longer want the agent to be able to pay.
• Any payment made with a valid, active budget — including if the budget code was used by a third party you authorized.

We provide tools to set limits, allowed stores, expiries, and to cancel budgets. We do not guarantee that an agent will behave as you intend within those limits.

6. Merchant terms

Merchants are solely responsible for delivering the goods or services represented by payment requests they issue, for honoring refunds where appropriate, and for handling chargebacks and disputes through Stripe. We act only as a payments broker.

7. Fees

Fees, if any, are disclosed in your account dashboard before you incur them. We may change fees on notice. Stripe's own processing fees apply separately and are deducted by Stripe.

8. Prohibited use

You may not use the Service to violate any law or regulation; to facilitate money laundering, fraud, or sanctions evasion; to finance terrorism or illegal activity; to abuse another user, merchant, or agent; or to reverse-engineer, scrape, or disrupt the Service.

9. Suspension and termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, are creating risk for us, Stripe, a merchant, or another user, or if required by law. You may close your account at any time.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of the fees you paid us in the twelve (12) months preceding the claim or one hundred U.S. dollars (US$100). In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or expense arising out of your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

13. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of those courts.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or a prominent notice on the Service. Your continued use after the effective date of a change constitutes acceptance.
